Our lawyers have advised on a broad range of equity capital market transactions involving both domestic and international elements. We have also worked with the Ratings Agency Malaysia, Securities Commission, Bursa Malaysia Securities Bhd, Malaysian Central Depository Sdn Bhd (MCD), Bank Negara Malaysia (Central Bank) and other related government agencies.

Financial Regulations

In this rapidly evolving financial environment and the changing sea of regulations, financial regulations are an aspect which significantly impacts the operations of financial institutions. Our team has advised financial institutions on best practices in accordance with the guidelines and practice notes issued by Bank Negara Malaysia (the Malaysian Central Bank), Securities Commission and the various authorities with oversight responsibility. This includes advice on anti-money laundering issues and compliance with prudential limits and standards. We have also advised boards, board committees and senior management of financial institutions on matters relating to banking and securities regulations, operational and corporate governance regulations.

Islamic Finance

The recognition and attractiveness of Islamic finance and Islamic instruments as an alternative to conventional Western financial models has swept across the world in recent years. The ever evolving features of Islamic finance, its financing techniques and the factors affecting its development are clear to us. Our lawyers have a comprehensive understanding of the principles governing Islamic finance, having pioneered some of the first and largest Islamic instruments and financial structures in Malaysia, such as the issuance of Sukuk Musharakah?by Cagamas MBS Bhd?in connection with a securitisation of mortgage assets and the issuance of Sukuk?Al Ijarah by BNM Sukuk Bhd. This head start and our experience in the industry over the years allow us to confidently advise on a wide range of issues in almost any Islamic finance transaction.
